This paper is designed to bring students up to date on current thinking and research in corporate finance. The primary topics to be covered are corporate boards of directors, managerial incentives and behaviors, corporate social responsibility, and corporate innovation.

The key components of this paper include students' presentations of the research papers and in-class discussions guided by the lecturer. After developing a sound understanding of the corporate finance research, students are required to develop a research proposal. Students' overall performance will be evaluated by their understanding of the research papers, contribution to the discussions, and the quality of their research proposals and presentations.

The lectures (2 hours * 2 sessions per week) will be delivered both face-to-face and via the Zoom link. There is no tutorials.

Students who successfully complete the paper should be able to:

  • LO1. Understand major corporate finance theories, how managers and directors make major decisions, and how governance mechanisms are used to monitor and discipline corporate managers and directors.

The course has approximately 44 contact hours. The rest of the 300-hour expected workload in this 30-point paper can be distributed as follows (actual distribution depends on individual preference): 125 hours for course readings and preparation of summaries; 50 hours for seminar preparations; 26 hours to prepare comments and questions for other students' seminars; 55 hours for the research proposal.
